Terms of Service

These terms govern your use of Semres, the growth platform moving companies run on top of their CRM. The commercial specifics of your subscription are set out in your order and onboarding agreement.

The agreement

These terms govern use of Semres. By using the platform or signing an order with us, the moving company (“you”) agrees to them. If you use Semres on behalf of a company, you confirm you are authorized to bind that company.

The specific commercial terms of your subscription, pricing, territory, and start date, are set out in your order or onboarding agreement, which forms part of this agreement.

What Semres provides

Semres is a growth and automation layer that connects to your existing CRM (such as SmartMoving or Chariot). It sources and engages leads, sends customer and partner communications, runs referral and review programs, and reports on results. Your CRM remains your system of record; Semres runs the revenue lifecycle around it.

We may improve, add to, or change features over time, provided we do not materially reduce the core functionality you are paying for.

Territory exclusivity

Semres is licensed to one moving company per approximately 50-mile territory. When you onboard, we geocode your headquarters and reserve your territory; we will not license a competing moving company within that area for the term of your agreement.

Territory boundaries and any exceptions are confirmed during onboarding and recorded in your agreement.

Your responsibilities

You are responsible for the data you bring into Semres and the messages you send through it. You confirm you have the right to process your customers’ and partners’ data and to contact them, and that your use complies with applicable marketing, anti-spam, and telemarketing laws.

You are responsible for keeping your CRM connection and account credentials secure, and for the actions of the users you invite.

Acceptable use

You may not use Semres to send unlawful, deceptive, or unsolicited messages, to upload data you are not permitted to use, or to attempt to access another company’s data or otherwise compromise the platform.

We may suspend access to address a security risk, a legal obligation, or a material breach of these terms, and will restore it once the issue is resolved.

Fees

Semres is offered on a subscription basis. Unless your order states otherwise, the fee is $1,000 per month, billed in advance, and is non-refundable except where required by law.

We may change pricing for a renewal term with reasonable advance notice; the price for your current term will not change.

Data ownership

You own your data, your leads, customers, partners, and the records they generate. Semres processes that data only to provide the service, as described in our Privacy Policy. We claim no ownership of it.

On termination, we will return or delete your data on request, except where we are required to retain records by law.

Availability and warranties

We work to keep Semres available and reliable, and publish component status on our status page. The service is nonetheless provided “as is,” and we do not warrant that it will be uninterrupted or error-free.

Semres depends on third-party services, your CRM, email and SMS providers, and AI providers, whose availability we do not control.

Limitation of liability

To the extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and each party’s total liability arising out of the agreement is limited to the fees you paid for Semres in the twelve months before the claim.

Term, termination, and changes

Either party may terminate as set out in your order, or for an uncured material breach. Provisions that by their nature should survive termination, including data ownership, fees owed, and limitation of liability, will survive.

We may update these terms; if a change is material, we will give reasonable notice. Continued use after a change takes effect means you accept the updated terms.

Governing law and contact

These terms are governed by the laws of the State of New York, USA, without regard to its conflict-of-laws rules. Questions about these terms can be sent to growth@semres.com.
